By accessing or using the MedVA Made Easier website (the "Site") or any services offered through it (the "Services"), you agree to be bound by these Terms and Conditions ("Terms").

If you do not agree to these Terms, please do not use the Site or Services.

These Terms apply to visitors, users, and clients regardless of location, including individuals and organizations accessing the Site from the United States, United Kingdom, Canada, Australia, or elsewhere.

MedVA Made Easier provides medical virtual assistant training, placement, and/or staffing support services designed to help healthcare practices and professionals find, onboard, and work with virtual assistants.

The specific scope of Services will be described on the Site or in a separate agreement or order form provided to you.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

You must be at least 18 years old and legally capable of entering into a binding contract in your country of residence to use our Services.

By using the Site, you represent that you meet these requirements.

Some features may require you to create an account. When creating or maintaining an account, you agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your login credentials.
• Notify us promptly of any unauthorized use of your account.
• Accept responsibility for activity conducted through your account.

Fees for Services will be disclosed before purchase or engagement.

• Fees are quoted and payable in USD or another agreed base currency unless otherwise stated in writing.
• Clients are responsible for bank fees, currency conversion charges, and applicable taxes such as VAT or GST.
• Refunds, where applicable, are governed by the applicable Refund Policy or separate agreement.
• Failure to pay fees when due may result in suspension or termination of Services.

If you engage a virtual assistant through our Services, you remain responsible for ensuring that your use of the VA complies with the laws, licensing requirements, professional rules, and regulatory obligations applicable to your practice and jurisdiction.

• Do not request a VA to perform tasks requiring a professional license unless you have confirmed that the VA is appropriately authorized to perform them.
• You are responsible for the accuracy of patient and business information provided to the VA.
• You are responsible for obtaining any patient consents or authorizations required for your use of the Services.
• You remain responsible for decisions made by your practice and for clinical care provided to your patients.

All content on the Site, including text, graphics, logos, training materials, software, and other materials, is the property of MedVA Made Easier or its licensors and is protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works from Site content without our prior written consent, except where permitted by applicable law.

You agree not to:

• Use the Site or Services for an unlawful purpose.
• Attempt to gain unauthorized access to our systems or another user's account.
• Upload viruses, malicious code, or other harmful material.
• Engage in activity that disrupts or interferes with the Site or Services.
• Misrepresent your identity or affiliation.
• Use the Services in a manner that violates applicable healthcare privacy or data protection laws.

The Site may contain links to third-party websites or services that are not owned or controlled by MedVA Made Easier. We are not responsible for the content, privacy policies, security practices, or other practices of third-party websites or services.

The Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

This includes, to the maximum extent permitted by applicable law, warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Site or Services will be uninterrupted or error-free, or that a particular virtual assistant placement will meet every specific expectation or business requirement.

To the maximum extent permitted by applicable law, MedVA Made Easier shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits or revenues arising out of or related to use of the Site or Services.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be excluded under applicable law, including certain consumer protection rights.

You agree to indemnify and hold harmless MedVA Made Easier, its officers, employees, and affiliates from claims, damages, losses, and expenses, including reasonable legal fees, arising from your breach of these Terms or misuse of the Site or Services.

We may suspend or terminate access to the Site or Services at any time, with or without cause or notice, including where these Terms are violated.

You may stop using the Services at any time, subject to outstanding obligations under any separate service agreement.

Nothing in this clause removes statutory rights that cannot be waived under the laws applicable to consumers or clients in their home jurisdiction.

Before pursuing formal legal action, both parties should attempt to resolve disputes informally by contacting MedVA Made Easier.

Where applicable, disputes may be subject to binding arbitration or another dispute-resolution process described in a separate agreement.

We may update these Terms from time to time. Changes will be posted on this page with a revised "Last Updated" date. Continued use of the Site or Services after changes become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect to the extent permitted by applicable law.
